Waiver of the termination clause

Resolution may be sought in court in any case (Art. 1227 Civil Code). Neither the inclusion of a resolution clause in the commercial lease nor its implementation can deprive the parties of their right to take legal action to obtain the resolution . Indeed, the Court of Cassation considers that the provisions of Article L. 145-41 of the Commercial Code, which only govern the conditions for applying the termination clause of a commercial lease, do not limit the powers of the trial court to independently assess the seriousness of breaches justifying the termination of this lease .

However, in order to exercise the action for termination of the lease, the landlord must waive the termination clause. This waiver, which is not presumed, must result from positive acts, voluntarily and knowingly performed, clearly indicating their intention. Neither the fact of having collected rents, without reservation, after the date of the demands, nor the initiation of an action for the triennial revision of the rent price, necessarily implies the landlord's intention to waive the termination clause . Similarly, the landlord's consent to the renewal of the lease while the alleged violations continued beyond this agreement  or the mere passage of time during which the landlord did not undertake to evict the tenant , cannot characterize an act clearly indicating the intention to waive the effects of the termination clause. However, by issuing the tenant a notice with an offer of renewal after the order condemning the tenant to pay overdue rents and charges, and after the demand, the landlord unequivocally waives the right to invoke the termination of the lease .
