Authentic instrument

The authentic deed is necessarily drawn up before a notary and, as such, provides great legal security insofar as this deed “is evidence until proven otherwise of what the public officer claims to have personally accomplished or observed” . The commercial lease, in authentic form, is endowed with the enforceable formula and constitutes an enforceable title  allowing bypassing the judge's authorization to proceed with protective measures .

Article 504, para. 1, of the General Tax Code requires the mandatory use of the authentic form for leases concerning premises used for the operation of a drinking establishment, which is merely a purely fiscal obligation and does not in any way render non-authentic leases null .

Finally, the notarized deed is also required for leases with a duration equal to or greater than twelve years, as they must be published with the service responsible for land registration of the location of the properties, under penalty of unenforceability against third parties . These leases are “subject to the land registration tax at a rate of 0.70%” , “calculated on the expressed price, increased by the charges imposed on the lessee, or on the actual rental value of the leased property if this value is higher than the price increased by the charges” and “due on the cumulative amount of all the years to come” .
