Judicial authorization

In the event of a dispute by the lessor regarding the related or complementary nature of the activity that the lessee intends to add to that provided for in the lease, Article L. 145-47, para. 2, of the Commercial Code specifies that “the Judicial Court, seized by the most diligent party, shall decide based notably on the evolution of commercial practices.” The text does not provide any deadline for seizing the court, except for the two-year prescription period, which begins to run from the lessor's response (Article L. 145-60 Commercial Code).

Trial courts, which are required to independently determine the commercial practices in the matter , have sovereign power to assess the connection or complementarity of new activities  and authorize them . A judgment that authorized the extension of activity, being subject to provisional execution, cannot be criticized for the lessee having commenced this new activity despite the appeal procedure .

Finally, under the terms of Article L. 145-55 of the Commercial Code, “at any time and until the expiration of a period of fifteen days from the date on which the decision becomes res judicata, the tenant who has made a request in accordance with Articles L. 145-47, L. 145-48, or L. 145-49 may withdraw by notifying the landlord by extrajudicial act or by registered letter with acknowledgment of receipt and, in this case, bears all the costs of the proceedings.” When using registered mail, the notification date for the tenant is the date of dispatch of the letter and, for the landlord, the date of first presentation of the letter (Article R. 145-38 Commercial Code).
