Principle

In the event of a public offering of bonds or for the listing of bonds on a regulated market, the issuing company must prepare an information document called a “prospectus,” in accordance with Regulation No 2017/1129 of 14 June 2017 . The prospectus must be drafted in French or another customary language in financial matters in the cases defined by the Regulation of 14 June 2017 or the general regulation of the Financial Markets Authority (AMF). When it includes a summary, it must be accompanied, in the cases defined by the same general regulation, by a translation of the summary into French . The responsibility for all the information provided in the prospectus prepared by the issuer and in any supplement thereto lies with the issuer .

Pursuant to the sixth paragraph of Article L. 412-1 of the Monetary and Financial Code, no civil liability action may be brought solely on the basis of the summary, including its translation, unless its content is misleading, inaccurate, or inconsistent with the information contained in the other parts of the document referred to in the first paragraph, or if it does not provide, when read in conjunction with the other parts of the document mentioned in the first paragraph, the essential information to assist investors when considering investing in these financial securities. The summary includes a clear warning to this effect. The general regulations of the Financial Markets Authority also set the conditions under which the public is informed when financial securities are admitted to trading on a regulated market or on a multilateral trading system .
