The death of a partner entails an amendment to the articles of association of the SNC, which can only result from a resolution by the partners deciding it or from a judgment serving as such . Indeed, the mere publication of the transfer of shares in an SNC is not sufficient to make it enforceable against third parties in the absence of a resolution by the partners noting the resulting amendment to the articles of association .

Furthermore, the death requires a correction to the trade and companies register, based on the rule that any registered legal entity must request an amendment registration within a month of any fact or act necessitating the rectification or completion of the statements provided for in Articles R. 123-53 et seq. of the Commercial Code . The formalities to be completed consist of filing acts, resolutions, or decisions involving or noting a statutory modification, and a request for an amendment registration with the RCS. The mention of the partner's death must be included in the registration, and the request must be accompanied by an extract of the death certificate or any other document establishing it . In the absence of these formalities, a partner pursued on their assets for the payment of the company's debts placed in judicial liquidation cannot seek the liability of the notary, who drafted the partition deed not published in the RCS, when the latter alerted them to the need to regularize this deed through a resolution of the partners to make it enforceable against third parties .
