Principle

Pursuant to Article 1844 of the Civil Code , every associate has the right to participate in collective decisions, and the statutes cannot derogate from this. Participation in collective decisions, which demonstrates the affectio societatis of the associate, can be expressed through both positive actions and systematic opposition to the manager's decisions .

The third paragraph of Article 1844 specifies that if a share is subject to a usufruct, the bare owner and the usufructuary have the right to participate in collective decisions. Therefore, a statutory clause whereby the usufructuary validly represents the bare owner for all corporate decisions of an SNC, regardless of their purpose, and which allows the usufructuary to exercise the voting right alone, cannot deprive the bare owner of the right to participate in collective decisions .

The participation of the body of partners is required to approve decisions that exceed the powers granted to the managers. These decisions are made unanimously by the partners, unless the articles of association provide for a majority for certain decisions . The articles of association may also stipulate that collective decisions are made through written consultation, if a meeting is not requested by one of the partners .
