The law of 11 July 1985  introduced the possibility of creating a single-member limited liability company, known as an EURL, which is a SARL composed of a single associate. This can be established in various ways. It can first result from a clear intention of a single person wishing to conduct their activity individually. Article L. 223-1 of the Commercial Code provides in this regard that the limited liability company is established by one or more persons who bear losses only up to the amount of their contributions. It adds that when the company has only one person, this person is referred to as the “sole associate.”

The existence of a single-member limited liability company (EURL) can then result from the consolidation of all the shares of a limited liability company (SARL) in the hands of one of the partners, now the sole owner. Finally, the EURL can arise from the transformation of a company that has no choice but to convert into an EURL.
