One of the accepted modifications to the free transferability of shares in a SA consists of stipulating approval clauses in the company's statutes. For some of the doctrine, the approval clause allows for the reintroduction of a hint of intuitus personae in a company that is essentially devoid of it . For obvious practical reasons, it can only be stipulated in non-listed companies.
