Context

The Act on Competition Restrictions came into force in 1992 (Act No 480/1992), repealing a previous Act from 1988. Two separate Acts passed in 1992 included provisions establishing the Finnish competition authorities. Later, an Act of 2001 created the Market Court, a new authority with jurisdiction in competition law matters which replaced the Competition Council and the former Market Court. More recently, Competition Act No 948/2011 came into force on 1 November 2011 and repealed the 1992 Act. The Act No 661/2012 on the Finnish Competition and Consumer Authority of 30 November 2012 eventually merged two previously independent agencies: the Finnish Competition Authority and the Consumer Agency. The new Finnish Competition and Consumer Authority (FCCA) has been operative since 1st January 2013.

Finally, the Finnish Competition Act has been amended by Act 721/2019 as of 17 June 2019. The main amendments are relative to inspections carried out by the FCCA, the FCCA’s right to obtain information, and the exchange of information between authorities.

The FCCA has published Guidelines on the application of the Competition Act in 2022, entitled “Guidelines on exemption from the penalty payment and reducing the penalty payment in cartel cases”. 

The Competition Act covers restrictive practices, abuses of dominance and mergers that affect competition in Finland. The Act applies to all undertakings, defined broadly in Section 4 to include private and public entities or natural persons who engage in economic activity. Agreements concerning the labor market are excluded from the scope of the Act, and agreements concerning agricultural production are covered only to a limited extent. In effect, since the 2019 amendment, agreements between agricultural producers, associations of agricultural producers, trade associations or associations formed by such associations, are not covered by the prohibition of restrictive agreements provided that they satisfy the conditions laid down in Article 42 TFEU. Finally, as of 1 January 2020, public operators such as municipalities which engage in economic activities are required to maintain separate accounts for those activities as part of the competition neutrality obligation where the annual turnover derived therefrom is higher than EUR 40,000.
