Fines

The Office is empowered to prohibit a concentration that would significantly impede effective competition (Article 11.6). On the alternative, the Office can issue an approval subject to conditions designed to ensure the concentration will not have such anticompetitive effect (Article 11.3). Parties are invited to draft in a 30-day time period conditions when the Office identifies competition issues with the concentration (Article 37.1). The Office can test the submitted conditions before deciding to condition the approval of the concentration with it (Article 37.5). Practicioners note that the Office can accept both structural and behavioural conditions. It is worth noting that an approval based on conditions can be revoked by the Office if the party fails to follow its obligations related to said conditions (Article 39.2). If market conditions change significantly, it can be convenient to request a modification of the Office’s decision (Article 39.3).

Conditions and commitments - Divestiture

Failure to timely notify a concentration, failure to refrain from implementing the concentration before the Office’s decision exposes the undertaking to a fine up to 10% of the worldwide turnover for the previous closed accounting period (Article 42). Submission of untrue or incomplete documents, failure to provide an interview or to submit documents in the given time limit is sanctioned by a fine of up to 1% of the turnover (Article 44).
