Une entreprise qui détient un brevet essentiel à une norme établie par un organisme de normalisation qu'elle s'est engagée à donner en licence à des conditions équitables, raisonnables et non discriminatoires, dites "FRAND" ("fair, reasonable and non-discriminatory") n'abuse pas de sa position dominante en introduisant une action en contrefaçon tendant à la fourniture de données comptables relatives aux actes d'utilisation passés de ce brevet ou à l'allocation de dommages-intérêts au titre de ces actes. 

Le titulaire d'un brevet essentiel à une norme établie par un organisme de normalisation, qui s'est engagé irrévocablement envers cet organisme à octroyer aux tiers une licence à des conditions équitables, raisonnables et non discriminatoires, dites "FRAND" ("fair, reasonable and non-discriminatory"), n'abuse pas de sa position dominante en introduisant une action en contrefaçon tendant à la cessation de l'atteinte à son brevet ou au rappel des produits pour la fabrication desquels ce brevet a été utilisé, dès lors que préalablement à l'introduction de l'action, il a averti le contrefacteur en désignant le brevet et en précisant la façon dont celui-ci a été contrefait, et, après que le contrefacteur a exprimé sa volonté de conclure un contrat de licence aux conditions FRAND, transmis à ce dernier, une offre concrète et écrite de licence à de telles conditions, et ledit contrefacteur continuant à exploiter le brevet considéré ne donne pas suite à cette offre avec diligence, conformément aux usages commerciaux reconnus en la matière et de bonne foi.

An undertaking which holds a patent which is essential to a standard established by a standardization body to which it has given an undertaking to grant licences under "fair, reasonable and non-discriminatory" conditions (FRAND) does not abuse its dominant position by bringing an action for infringement seeking an injunction prohibiting the infringement of its patent or seeking the recall of products for the manufacture of which that patent has been used, where, prior to bringing that action, it has alerted the alleged infringer by designating that patent and specifying the way in which it has been infringed, and, after the alleged infringer has expressed its willingness to conclude a licensing agreement on FRAND terms, presented to that infringer a specific, written offer for a license on such terms, whereas the alleged infringer by continuing to use the patent in question has not diligently responded to that offer in accordance with recognized commercial practices in the field and in good faith.

L'article 14 de la directive 2004-48 relative au respect des droits de propriété intellectuelle est applicable aux frais de justice exposés par les parties dans le cadre d'une action en indemnisation, introduite dans un État membre, en réparation du préjudice causé par une saisie effectuée dans un autre État membre, ayant eu pour objet de prévenir une atteinte à un droit de propriété intellectuelle, lorsque se pose, dans le cadre de cette action, la question de la reconnaissance d'une décision rendue dans cet autre État membre constatant le caractère injustifié de cette saisie.

Lorsqu'il vérifie l'existence éventuelle d'une violation manifeste de l'ordre public de l'État requis, le juge de cet État doit tenir compte du fait que, sauf circonstances particulières rendant trop difficile ou impossible l'exercice des voies de recours dans l'État membre d'origine, les justiciables doivent faire usage dans cet État membre de toutes les voies de recours disponibles afin de prévenir en amont une telle violation. 

Le fait qu'une décision rendue dans un État membre soit contraire au droit de l'Union ne justifie pas qu'elle ne soit pas reconnue dans un autre État membre au motif qu'elle viole l'ordre public de cet État dès lors que l'erreur de droit invoquée ne constitue pas une violation manifeste d'une règle de droit considérée comme essentielle dans l'ordre juridique de l'Union et donc dans celui de l'État membre requis ou d'un droit reconnu comme fondamental dans ces ordres juridiques.

When the presumption of imputability is not applicable, the Commission may establish the effective exercise of decisive influence by means of elements such as the high shareholding in its subsidiary’s share capital which allows it to exercise control over all the deliberations within the latter and the existence of two then three common managers and the participation of those managers in cartel meetings, which demonstrates the parent company's knowledge of the subsidiary's infringing conduct.



For the period during which the presumption of imputability is applicable, a parent company does not demonstrate the autonomy of its subsidiary by invoking its status as a non-operational holding company limited to managing its shareholdings, its lack of influence in the specific area in which the infringement occurred due to its inactivity on this market, or the non-existence of a specific information policy on the market concerned.

Requests for information and inspections carried out by the Commission at the premises of certain undertakings within five years of the end of the infringement interrupt the limitation period in respect of all the participating undertakings.

The mere fact that the 2006 Guidelines maintain the maximum of 10% of the turnover of penalized undertakings, provided for in Article 15 of Regulation 17 applicable to the dispute at issue, is not enough to establish that their application does not breach the principle of non-retroactivity in criminal law if it is not shown that the developments they bring about were reasonably foreseeable at the time when the offense was committed.

The Commission cannot take into account the value of sales made by the undertaking for the entire duration of its participation in the cartel in States where it was not initially present as it had no authorizations to market its products there.

The mere mention of an undertaking in the notes taken by a third party during an anticompetitive meeting is not sufficient to make it a participant in the infringement.

An undertaking's involvement in discussions held at a meeting in which it did not participate is not established when it comes from a single source of information - the statements of a leniency applicant - who obtained that information only indirectly.

The amount of the fine imposed on an undertaking for deterrence need not take account of the duration of its participation in the infringement.

Not challenging the facts does not facilitate the Commission's work and does not justify a reduction of the fine when the Commission already had sufficient sources of information.

The penalty imposed on an undertaking is disproportionate when it is not sufficiently individualized to take account of the  fact that it participated only belatedly and progressively in the infringement.

An undertaking does not rebut the presumption of imputability for the infringing conduct of the subsidiary in which it holds 100 % of the capital by invoking its status as an economically inactive holding company merely managing its shareholdings. 

The fact that the parent company did not influence the policy of its subsidiary in the specific area that was the subject of the infringement since it was not active in the sector in question is not sufficient to rebut the presumption of imputability. 

Given that the independence of the subsidiary is not assessed solely by reference to the operational management aspects of the undertaking, the fact that the subsidiary never implemented for the benefit of its parent company a specific information policy on the market concerned is not sufficient  to rebut the presumption of imputability.




The transfer of the subsidiary does not prevent the infringing conduct from being attributed to the parent company, which has not ceased to exist and is not structurally linked to the transferee. 

The Commission is entitled to not refer to the turnover of the year preceding that of its decision, but to that of the year in which the undertaking's last full year of normal economic activity took place, when the undertaking sold its subsidiary and subsequently ceased all its operational activities, to become a simple holding company.

An undertaking that no longer controls its former subsidiary on the date of its leniency application cannot benefit from said leniency.
