The decision, which in its operative part qualifies as State aid the entirety of a capital contribution without deducting the expenditure forming part of a public service task, is annulled insofar as where the Commission decides to state an amount of State aid in the operative part of a decision, it is required to indicate the correct amount.

A change in the legal  framework, such as an evolution in the case law from the year 2000, meaning that the rules on State aid were extended to the airport sector, does not allow a capital contribution to an airport to be classified as existing aid insofar as that aid was granted subsequently.

A public undertaking - in this case the operator of an airport - can at the same time be a recipient of aid in the form of a capital contribution as an undertaking active in the market and the donor of separate aid in the form of an unlimited warranty granted to a freight hub.

The activities of operating an airport and the extension of its infrastructures constitute economic activities within the meaning of Article 107 TFEU even if they are neither proftable nor carried out by private operators.

Restrictions relating to the location and size of large retail establishments may constitute methods suitable for achieving the objectives relating to town and country planning.

Restrictions which significantly affect the possibility of opening large retail establishments in a region of a Member State cannot be justified where there is no evidence that they are necessary to achieve objectives relating to the protection of the environment.

Where the requirement of a license prior to the opening of a large retail establishment seems to meet the objective of protection of the environment and town and country planning, the conditions of issue of that license cannot be justified where they rely on purely economic considerations such as the application of ceilings as regards the market share and the impact on existing retail trade.

When issuing licenses to open retail establishment, consulting a retail facilities commission where only the sectoral interest of the existing local trade is represented, is not appropriate for pursuing the objectives relating to town and country planning, environmental protection and consumer protection put forward.

Where restrictions relating to the location and size of large retail establishments constitute methods suitable for achieving the objectives relating to town and country planning, those which significantly affect the possibility of opening large retail establishments in a region of a Member State cannot be justified where there is no evidence that they are necessary to achieve that objective.

CJEU, 2nd chamber, March 24, 2011, No C-400/08

An undertaking, which was "dormant" within the meaning of English company law during a defined period of continuous infringement, and which exchanged names with a sister company of the same group at the end of that period, cannot be held liable for direct participation in the infringement in that period since it did not carry on any economic activity or have any turnover.

Where a parent company and its subsidiary no longer form an economic entity at the date of the Commission decision, it cannot rely on the turnover of the former parent company in the year preceding that decision in order to determine the applicable deterrence aspect, insofar as that turnover does not reflect the effective economic capacity of the entity to cause damage to other operators at the time of the infringement.

An undertaking which participated only in the unlawful meetings of the professional association and not in the two other parts of the complex infringement consisting in bilateral contacts and contacts at a trade fair, cannot be regarded as having joined that overall infringement insofar as it has not been established that it was aware of these other anticompetitive activities or could reasonably foresee them.

One handwritten note in the leniency applicant's diary mentioning a discussion with a competing undertaking about prices is not sufficient to prove that that undertaking participated in the alleged overall infringement insofar as that contact could be regarded as an isolated incident.

Un contrat de référencement prévoyant le paiement d'une redevance annuelle doit être annulé et les sommes indûment versées restituées lorsque la centrale n'a pas exécuté son engagement de recommander les services du prestataire.

Les contrats de coopération commerciale qui visent des prestations aux dénominations imprécises ou ne prévoient scrupuleusement que les modalités de rémunération du distributeur, sans qu'il démontre avoir rendu les services annoncés, sont nuls pour défaut de cause ou cause illicite et l'obligent à rembourser les sommes indûment perçues.

Le régime du silence négatif, plutôt que positif, imposé dans le cadre d'une procédure de demande d'autorisation commerciale ayant comme objectif la protection de l'environnement, l'aménagement du territoire et la protection des consommateurs, est justifié dans la mesure où il est aisément gérable et contrôlable par les autorités compétentes.

La consultation, lors de la délivrance d'autorisations pour l'ouverture d'établissements commerciaux, d'une commission des équipements commerciaux où seul l'intérêt sectoriel du commerce local préexistant est représenté, n'est pas apte à réaliser les objectifs d'aménagement du territoire, de protection de l'environnement et de protection des consommateurs avancés.

Si l'exigence d'une autorisation préalable à l'ouverture d'un grand établissement commercial répond, a priori, aux objectifs de protection de l'environnement et d'aménagement du territoire, les conditions de délivrance de cette autorisation ne sauraient être justifiées dès lors qu'elles reposent sur des considérations de nature purement économique telles que l'application de plafonds en ce qui concerne le degré d'implantation et l'incidence sur le commerce de détail préexistant.

S'il est admis que l'intégration dans l'environnement urbain constitue un critère légitime lorsqu'il y a lieu de se prononcer sur la question de savoir s'il convient d'autoriser l'ouverture d'un établissement commercial, il est difficile de spécifier à l'avance des seuils ou des plafonds précis sans introduire un degré de rigidité susceptible de restreindre davantage la liberté d'établissement.

Si des restrictions portant sur la localisation et la taille des grands établissements commerciaux constituent des moyens propres à atteindre l'objectif d'aménagement du territoire, celles qui affectent d'une manière significative les possibilités d'ouvrir de grands établissements commerciaux dans une région d'un Etat membre ne sauraient être justifiées en l'absence de preuve de leur caractère nécessaire pour atteindre cet objectif.

CJUE, 2e ch., 24 mars 2011, n° C-400/08

Une entreprise "en sommeil", au sens du droit anglais des sociétés, pendant une période déterminée d'une infraction continue, qui a échangé son nom avec celui d'une société-soeur du même groupe à l'issue de cette période, ne saurait être tenue pour responsable d'une participation directe à l'infraction pendant cette période dès lors qu'elle n'exerçait alors aucune activité économique ni ne réalisait aucun chiffre d'affaires.

Dès lors qu'une société-mère et sa filiale ne forment plus une entité économique à la date d'adoption de sa décision, la Commission ne peut pas se fonder sur le chiffre d'affaires de l'année précédente de l'ex-société-mère pour déterminer le facteur dissuasif applicable, dans la mesure où il ne reflète pas la capacité économique effective de l'entité à créer un dommage aux autres opérateurs au moment de l'infraction.

Une seule série de notes manuscrites figurant dans l'agenda du demandeur en clémence indiquant un échange de vues avec une entreprise concurrente concernant les prix ne suffit pas à prouver la participation de cette dernière à l'infraction globale reprochée dans la mesure où ce contact pourrait être considéré comme un incident isolé.

L'entreprise qui a uniquement participé aux réunions illicites de l'association professionnelle et non aux deux autres volets de l'infraction complexe consistant en des contacts bilatéraux et des contacts pris lors d'une foire commerciale, ne peut être considérée comme ayant adhéré à cette infraction globale dans la mesure où il n'est pas démontré qu'elle connaissait ou pouvait raisonnablement prévoir ces autres activités anticoncurrentielles.

Un échange d'informations ne doit pas nécessairement être réciproque pour porter atteinte au principe du comportement autonome sur le marché dans la mesure où la divulgation d'informations sensibles élimine l'incertitude relative au comportement futur d'un concurrent et influence, directement ou indirectement, la stratégie du destinataire des informations.

S'il n'existe pas d'obligation de répondre à une communication des griefs, l'entreprise qui choisit d'y répondre, au moyen par exemple d'un témoignage destiné à démontrer le caractère erroné des preuves apportées par la Commission, est tenue de fournir des informations exactes.

La continuation de la participation à l'entente après les vérifications de la Commission justifie une majoration de 60 % du montant de base de l'amende.

La révision à la baisse de la durée de participation de la filiale à l'infraction permet à sa société-mère qui n'est responsable qu'en cette qualité de prétendre à une réduction de l'amende infligée dans la mesure où sa responsabilité ne peut excéder celle de sa filiale.
